These Terms of Service ("Terms") govern your access to and use of DyerPay's payment processing platform and services. By using DyerPay, you agree to be bound by these Terms.
1. Acceptance of Terms
By accessing or using DyerPay services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use our services.
These Terms constitute a legally binding agreement between you (either an individual or entity) and DyerPay.
2. Eligibility
To use DyerPay services, you must:
- Be at least 18 years of age
- Have the legal authority to enter into binding contracts
- Be a government agency, authorized representative, or citizen making payments to government entities
- Not be prohibited from using our services under applicable law
- Provide accurate, current, and complete information during registration
3. Description of Services
DyerPay provides payment processing services specifically designed for government agencies and their constituents, including:
- Payment Processing: Credit card, debit card, and ACH payment acceptance
- Balance Management: Import, export, and management of outstanding balances
- API Integration: RESTful API for automated data synchronization
- CSV Integration: Manual import/export via spreadsheet files
- Payment Pages: Customizable online payment portals for citizens
- Reporting: Transaction reports and payment reconciliation
4. Account Registration and Security
4.1 Account Creation
Government agencies must apply and be approved before using DyerPay services. During onboarding, you must provide:
- Valid government agency information and documentation
- Authorized representative contact details
- Tax identification numbers and financial information
- Any additional information required for identity verification
4.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access
- Using strong passwords and enabling two-factor authentication
- Restricting access to authorized personnel only
5. Fees and Payment Terms
5.1 Transaction Fees
DyerPay charges fees for payment processing services. Current fee schedules are provided during onboarding and may vary based on:
- Transaction volume
- Payment method (credit card, debit card, ACH)
- Service level selected
- Additional features utilized
5.2 Payment Processing
- Fees are deducted from transaction proceeds before settlement
- Settlements typically occur within 2-5 business days
- Chargebacks and refunds may result in additional fees
- We reserve the right to adjust fees with 30 days' notice
5.3 Refunds
Service fees are non-refundable except as required by law or as expressly stated in these Terms.
6. Acceptable Use
You agree not to:
- Use DyerPay for any illegal, fraudulent, or unauthorized purpose
- Process payments for prohibited items or services
- Violate any applicable laws, regulations, or third-party rights
- Interfere with or disrupt our services or servers
- Attempt to gain unauthorized access to our systems
- Reverse engineer, decompile, or disassemble our software
- Use automated systems (bots, scrapers) without permission
- Transmit viruses, malware, or harmful code
- Impersonate another person or entity
- Collect user information without consent
7. Intellectual Property
7.1 DyerPay Property
All content, features, and functionality of DyerPay, including but not limited to text, graphics, logos, software, and design, are owned by DyerPay and protected by copyright, trademark, and other intellectual property laws.
7.2 Limited License
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use DyerPay services for their intended purpose. This license does not include the right to:
- Resell or commercially exploit our services
- Modify, copy, or create derivative works
- Use our trademarks or branding without permission
7.3 Your Data
You retain ownership of data you submit to DyerPay. By using our services, you grant us a license to use, store, and process your data solely to provide our services.
8. Compliance and Regulatory Requirements
8.1 KYC and AML
You agree to comply with all Know Your Customer (KYC) and Anti-Money Laundering (AML) requirements, including providing requested documentation for identity verification.
8.2 PCI Compliance
DyerPay is PCI DSS compliant. You must not store, process, or transmit cardholder data outside of DyerPay's secure systems without proper PCI compliance certification.
8.3 Tax Reporting
You are responsible for all tax obligations related to your use of DyerPay services, including income reporting and payment of applicable taxes.
9. Chargebacks and Disputes
In the event of payment disputes or chargebacks:
- We will notify you of all chargebacks and disputes
- You must respond to chargeback inquiries within specified timeframes
- Chargeback amounts may be debited from your account balance or future settlements
- Excessive chargebacks may result in account suspension or termination
- You are responsible for chargeback fees and related costs
10. Limitation of Liability
To the maximum extent permitted by law:
- DyerPay is provided "as is" without warranties of any kind
- We are not liable for indirect, incidental, or consequential damages
- Our total liability is limited to the fees paid by you in the 12 months preceding the claim
- We are not liable for third-party actions, payment network decisions, or force majeure events
- We do not guarantee uninterrupted or error-free service
Note: Some jurisdictions do not allow limitation of liability for certain types of damages. In such cases, our liability is limited to the maximum extent permitted by law.
11. Indemnification
You agree to indemnify, defend, and hold harmless DyerPay, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses arising from:
- Your use or misuse of DyerPay services
- Violation of these Terms or applicable law
- Infringement of third-party rights
- Inaccurate or misleading information you provide
- Your relationships with citizens or other users
12. Service Modifications and Termination
12.1 Service Changes
We reserve the right to modify, suspend, or discontinue any aspect of our services at any time, with or without notice.
12.2 Account Termination
We may suspend or terminate your account if:
- You violate these Terms
- We suspect fraudulent or illegal activity
- Required by law or payment network rules
- Your account poses risk to DyerPay or other users
- Excessive chargebacks or disputes occur
12.3 Effect of Termination
Upon termination:
- Your right to use DyerPay services immediately ceases
- We may retain data as required by law or regulation
- Outstanding balances become immediately due
- You remain liable for all obligations incurred before termination
13. Dispute Resolution
13.1 Informal Resolution
Before pursuing formal dispute resolution, contact us at support@dyerpay.com to attempt informal resolution.
13.2 Arbitration Agreement
Except for government entities exempt from arbitration, disputes will be resolved through binding arbitration rather than court proceedings. Arbitration will be conducted under the American Arbitration Association (AAA) rules.
13.3 Class Action Waiver
To the extent permitted by law, disputes must be brought on an individual basis. You waive the right to participate in class actions or class arbitrations.
14. Governing Law

15. General Provisions

We are not liable for delays or failures due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, or infrastructure failures.
16. Changes to Terms
We may modify these Terms at any time by:

- Updating the "Last Updated" date
- Providing notice for material changes
Continued use of DyerPay after changes constitute acceptance of the modified Terms. If you do not agree to changes, you must stop using our services.
